These Terms of Use govern the use of CLT Trust (the “Service”), operated by CLT NY INC. (“we”). By creating an account or using the Service, you agree to these Terms. The Japanese version of these Terms prevails if the two versions differ.

1. The Service

The Service is a platform where companies (“Clients”) post requests about overseas business expansion and independent professionals and firms (“Experts”) send proposals. We are not a party to any agreement between Clients and Experts and do not provide legal, tax, accounting, immigration or other professional advice.

2. Accounts

1. You must provide accurate information and keep your login credentials secure.
2. You are responsible for all activity under your account.
3. We may suspend or delete accounts that violate these Terms.

3. Experts

1. Experts must accurately describe their qualifications and hold any licenses required by law for the services they offer.
2. We review Expert profiles before listing them but do not guarantee their qualifications, quality of work or results.
3. Experts must keep information they learn through the Service confidential and use it only to respond to the request.

4. Engagements between Clients and Experts

Scope, fees, payment and all other terms of an engagement are agreed directly between the Client and the Expert, who are solely responsible for performing them. We are not liable for disputes between them, although we may help where reasonable.

5. Fees

The Service is currently free for Clients and Experts. If we introduce fees, we will give notice in advance and fees will apply only to those who agree to them.

6. Prohibited conduct

• False or misleading information, or impersonation
• Spam, solicitation unrelated to a request, or collecting other users’ information for other purposes
• Content that infringes the rights of others or violates the law
• Interfering with the operation of the Service
• Any other conduct we reasonably consider inappropriate

7. Content

You retain rights to the content you post. You grant us a license to display and process it as needed to operate the Service.

8. Disclaimer and limitation of liability

The Service is provided “as is”. To the extent permitted by law, we are not liable for damages arising from the use of the Service or from engagements between users, except in cases of our intentional misconduct or gross negligence.

9. Changes

We may update these Terms. Material changes will be announced on the Service. Continued use after the effective date means you accept the updated Terms.

10. Governing law

These Terms are governed by the laws of the State of New Jersey, USA. Courts located in New Jersey have exclusive jurisdiction over disputes relating to the Service.
